1. Description of Services

Restoration AI provides a comprehensive SaaS digital marketing, dispatching, and AI communications platform built specifically for restoration and construction companies. Our Services include, but are not limited to, website generation, automated blogging, Google Ads management, Google Business Profile (GBP) synchronization, and AI voice agents ("AI Receptionist") that answer calls, triage leads, and schedule appointments on your behalf.

2. Account Registration and Responsibilities

To use the Services, you must register for an account. You agree to provide accurate, complete, and current information. You are entirely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. AI Voice Agents and Call Recording

By utilizing our AI Receptionist services:

Consent to AI Interaction: You acknowledge and agree that your inbound callers will interact with an artificial intelligence voice agent. It is your responsibility to ensure compliance with local laws regarding the disclosure of AI interactions.
Call Recording and Transcription: All inbound and outbound calls routed through our system are recorded, transcribed, and analyzed for quality assurance, training, and lead qualification purposes. You represent and warrant that you have obtained all necessary consents from callers as required by applicable federal and state laws (including two-party consent laws where applicable) prior to utilizing our call recording and AI transcription features.

4. Google Account Integrations

Our Services integrate with Google APIs (e.g., Google Search Console, Google Business Profile) to automate marketing and analytics tasks.

By authenticating your Google account, you grant us permission to view, manage, and synchronize data (such as reviews, local posts, and analytics) on your behalf.
Our use of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. See our Privacy Policy for more details.

5. Billing, Wallet Balances, and Subscriptions

Prepaid Wallet Balances: Certain features (such as AI calling minutes, SMS, and specific automated jobs) require a prepaid wallet balance. All wallet deposits and balances are strictly non-refundable. If you cancel your account, any remaining wallet balance is forfeited.
Subscriptions: Subscription fees for our platform are billed in advance on a recurring basis (e.g., monthly).
Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellations will take effect at the end of the current billing cycle. We do not provide refunds or prorated credits for partial months or unused wallet balances.

6. Prohibited Conduct

You agree not to:

Use the Services to engage in spam, harassment, or unlawful communications.
Violate any applicable laws or regulations, including the Telephone Consumer Protection Act (TCPA) and similar telemarketing laws.
Reverse engineer, decompile, or attempt to extract the source code of our platform or AI models.
Upload viruses, malicious code, or use the Services to distribute harmful software.

7. Suspension and Termination

We reserve the right to suspend or terminate your account and your access to the Services at our sole discretion, without prior notice or liability, for any reason, including without limitation if you breach the Terms or engage in prohibited conduct. Upon termination, your right to use the Services will immediately cease.

8. Intellectual Property

All rights, title, and interest in and to the Services (including software, algorithms, UI/UX designs, and AI prompts) are and will remain the exclusive property of Restoration AI. You retain ownership of your customer data, call logs, and any specific content you input into the platform.

9. Disclaimer of Warranties

Your use of the Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Restoration AI expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Restoration AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill, resulting from:

Your access to or use of or inability to access or use the Services.
Any conduct or content of any third party on the Services.
Mistakes, hallucinations, or misrouting made by our AI Receptionist agents.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located within that jurisdiction.

12. Modifications to the Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our platform or by email. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.
